摘要：

目的 揭示期刊与出版商数字出版合作协议中存在的重要风险,促进我国学术期刊出版单位完善与数字出版商的版权协议。方法 运用案例分析方法,梳理并分析了期刊与数字出版商合作协议中的可能风险和对应的典型协议条款。结果 研究发现,当前期刊与数字出版商合作协议中的主要风险有：在作者授权有瑕疵的情况下与出版商签订协议、与多个出版商签订排他性协议、协议限制期刊传播论文和进行版权经营与开发、存在协议自动续签等不公平的问题。结论 提出了四类典型条款及其修改建议以消除上述风险,包括：涉及协议主体的条款、与多个服务商签订协议时应注意的条款、与作者版权协议的衔接性条款、不公平和不合理的条款。

Abstract:

[Purpose] To help publishing institutions of academ ic journals amend agreements w ith digital publishing providers.[Methodology] The authors analyze the typical risks and terms in digital publishing agreementsw ith case studymethod.[Findings] The risks in digital publishing agreements mainly are：journal publishing institutions conclude agreement w ith digital publishing provider while there are defections in agreements w ith papers'autors,conclude exclusive agreement w ith more than one digital publishing provider,some terms in agreements restrict publishing institutions'communicating contentand copyrightutilization,some unfair terms exist such as the agreementw ill be renewed automatically for a new period.[Conclusions] The typical terms and their correction suggestions to avoid legal risks are given,including the follow ing four kinds：terms aboutagreements'entities,termswhile concluding agreements w ith more than one digital publishing provider,terms along w ith the agreements concluded w ith authors,unfair terms.
